Late CAM reconciliation: what it means for tenants

A CAM reconciliation is late when it arrives after the delivery date your lease sets. Whether that matters, and how much, depends entirely on the wording of that clause. Some leases attach no consequence at all; others bar the landlord from collecting on a statement that misses an outside date. Your lease controls, so start with the clause, not with the invoice.

Find the delivery clause first

Look in the operating expenses or CAM section for a sentence such as "Within 120 days after the end of each calendar year, Landlord shall deliver to Tenant a statement of Operating Expenses." Then read the next few sentences and any amendment that changes them. Four questions decide your position:

  1. Is there a delivery deadline at all, and is it a firm "shall" or "shall use reasonable efforts"?
  2. Does the lease say what happens if the deadline is missed?
  3. Is there an outside date after which the landlord may no longer bill for a year?
  4. Does the same rule apply to credits the landlord owes you?

If you have not seen a reconciliation before, what a CAM reconciliation is explains the estimate and true-up mechanics this page builds on.

Four kinds of delivery clause

What the lease saysWhat a late statement means
No delivery deadlineThe landlord may still be able to bill, subject to general law on how long claims survive. Ask your counsel if the statement is years old.
A deadline with "reasonable efforts" or no stated consequenceLateness alone may not cancel the bill. It can still matter in a negotiation, and it may delay when your own audit window starts.
A deadline with a waiver ("failure to deliver within ... shall be a waiver of Landlord's right to collect")A statement delivered after that date may not be collectable for that year. Read whether the waiver covers the whole balance or only increases over the estimates.
An outside date or lookback limit ("no statement may be rendered more than 24 months after the end of the year")Years older than the limit cannot be billed; newer years still can.

These are clause types a lease may contain, not a statement of how common each one is. The wording in your lease, including amendments, is what counts.

Worked example: two years arrive at once

A hypothetical franchisee has a 3.5% share and pays estimates of $800 a month ($9,600 a year). Its lease requires the statement within 120 days after year end and says a statement delivered more than 12 months after year end waives the landlord's right to collect for that year. In September 2026 the landlord sends the 2024 and 2025 reconciliations together, plus a new monthly estimate. All figures are illustrative.

ItemWhole centerTenant's 3.5%Estimates paidBilled
2024 true-up$300,000$10,500$9,600$900
2025 true-up$336,000$11,760$9,600$2,160
2026 estimate catch-up, January to September$980 a month$800 a month$1,620
Total on the invoice$4,680

The arithmetic: $300,000 x 3.5% = $10,500, minus $9,600 paid = $900. $336,000 x 3.5% = $11,760, minus $9,600 = $2,160. The new estimate is $11,760 / 12 = $980 a month, $180 more than before, and billing that back over nine months adds 9 x $180 = $1,620.

Now apply the lease. The 2024 statement arrived about 20 months after the end of 2024, past the 12 month outside date, so under this clause the $900 is waived. The 2025 statement missed the 120 day deadline but arrived within 12 months, so it stays collectable. Whether the landlord may bill the higher estimate back to January is a separate question; if the lease only allows a new estimate going forward, the $1,620 drops too. Depending on that answer, the tenant owes $3,780 ($2,160 + $1,620) or $2,160, not $4,680. A late statement also deserves the same line-by-line check as any other: the most common CAM overcharges apply just as much to a catch-up bill.

What to do when a late reconciliation arrives

  1. Record the date it arrived and keep the envelope or email. Lateness is measured against that date.
  2. Find the delivery clause, any waiver or outside date, and the estimate clause. Note each year separately: one may be waived while another is not.
  3. Check your audit window. Where it runs from receipt of the statement, a late statement opens a fresh window rather than closing one; see CAM audit rights and objection windows.
  4. Audit each year's statement on its own: share, exclusions, admin fee base, cap. The step-by-step audit method covers the order.
  5. Object in writing, citing the delivery clause for any waived year and the specific lines for the rest. The dispute guide has a letter template. If the lease requires payment while a dispute is pending, pay under protest rather than withholding.

If the landlord owes you a credit

A delayed reconciliation can also hold back money you are owed, when costs came in under the estimates. Ask for the statement in writing, citing the delivery clause, and keep a copy. Read whether your lease applies the waiver to credits as well as to charges, and whether a credit is refunded or applied to future rent.

Questions

Can a landlord bill CAM charges from previous years?

It depends on the lease. Without a deadline or outside date, a landlord may still bill an earlier year. A waiver clause or lookback limit can bar collection for years past that date. Your lease controls, and old claims are a question for your counsel.

Does a late CAM reconciliation mean I do not have to pay?

Only if the lease says so. A deadline with no stated consequence may not cancel the bill. A clause that makes late delivery a waiver can. Read the exact wording, including amendments.

Does a late statement shorten my time to audit it?

Not where the audit window runs from receipt of the statement: then the clock starts when the late statement arrives. Check what starts the clock in your lease.
